Minmen provides the following services:

• Product Sourcing: Identifying and vetting manufacturers and suppliers in China
• Supplier Negotiation: Negotiating pricing, terms, and conditions with suppliers
• Quality Control: Factory audits, production monitoring, and pre-shipment inspections
• Logistics: Freight forwarding, customs clearance, and delivery coordination
• Warehousing: China-based warehouse services and Amazon FBA prep
• Client Portal: Online platform for project tracking and communication

The specific scope of services will be defined in individual service agreements or quotations provided to you.

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or misleading.

Our service fees are outlined in our Pricing page and in individual quotations provided for specific projects.

Payment Terms

• Service fees are due as specified in your service agreement or invoice
• We accept payment via bank transfer, credit card, and other methods as specified
• All fees are quoted in USD unless otherwise specified
• Late payments may incur additional fees or result in service suspension

Supplier Payments

Payments to suppliers for goods are separate from our service fees. These payments are typically made directly to suppliers according to agreed terms (e.g., 30% deposit, 70% before shipment). We can assist with payment facilitation upon request.

As a client, you agree to:

• Provide accurate and complete product specifications and requirements
• Respond promptly to requests for information or approvals
• Review and approve samples, quotations, and quality reports in a timely manner
• Ensure that the products you source comply with applicable laws and regulations in your destination country
• Make payments according to agreed terms
• Communicate any changes to requirements promptly

Our Content: All content on our website, including text, graphics, logos, images, and software, is the property of Minmen or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Your Content: You retain ownership of any content, designs, specifications, or materials you provide to us. By providing such content, you grant us a license to use it solely for the purpose of providing our Services to you.

Confidentiality: We treat your product designs, specifications, and business information as confidential and will not share them with third parties except as necessary to provide our Services.

You agree not to:

• Use our Services for any illegal purpose or to violate any laws
• Source products that infringe on intellectual property rights of others
• Source prohibited or restricted items (e.g., weapons, controlled substances)
• Attempt to circumvent our Services to deal directly with suppliers we have introduced
• Interfere with or disrupt the integrity of our website or Services
• Misrepresent your identity or affiliation with any person or entity

Our website may contain links to third-party websites or services that are not owned or controlled by Minmen. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

Our Services involve coordination with third-party suppliers, manufacturers, and logistics providers. While we carefully vet our partners, we are not responsible for their actions beyond the scope of our engagement.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

While we strive to ensure quality and reliability, we do not warrant that:

• Products sourced through our Services will meet all your requirements or expectations
• Our Services will be uninterrupted, timely, secure, or error-free
• Suppliers or manufacturers will perform according to all specifications

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINMEN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF OUR SERVICES.

Our total liability for any claims arising from these Terms or the Services shall not exceed the total amount of fees paid by you to Minmen in the twelve (12) months preceding the claim.

You agree to indemnify, defend, and hold harmless Minmen, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any rights of another party, including intellectual property rights
• Products sourced through our Services that cause harm or violate laws in your destination country

Either party may terminate the service relationship with written notice. Upon termination:

• You remain responsible for any outstanding payments for services rendered
• We will provide reasonable assistance to transition any ongoing projects
• Confidentiality obligations will survive termination

We may suspend or terminate your access to the Services immediately if you violate these Terms or engage in conduct that we determine, in our sole discretion, may harm Minmen or other users.

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules.

Entire Agreement: These Terms constitute the entire agreement between you and Minmen regarding the Services, superseding any prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date" at the top. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
